These Terms of Service (“Terms”) govern your access to and use of QR Breeze (“QR Breeze”, “we”, “us”, or “our”), including our website, dashboard, QR code generation tools, analytics, and related services (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility & Accounts
- You must be at least 18 years old to use QR Breeze.
- You represent that you have authority to bind any business you act on behalf of.
- You are responsible for all activity under your account, including actions taken by invited team members.
- You must keep your login credentials secure and notify us immediately of unauthorised access.
3. Use of the Service
QR Breeze allows users to create and manage QR codes, digital menus, landing pages, PDFs, and related content, and to view analytics associated with QR code scans.
You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.
4. User Content
4.1 Ownership
You retain ownership of all content you upload or create using the Service (“User Content”), including menus, images, banners, PDFs, and text.
4.2 Licence to QR Breeze
You grant QR Breeze a non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit your User Content solely for the purpose of operating and improving the Service.
4.3 Responsibility
You are solely responsible for your User Content and for ensuring it does not violate any laws, third-party rights, or our policies.
5. QR Codes & Third-Party Destinations
- QR Breeze does not control or verify the content of external websites or destinations linked via QR codes.
- We do not endorse, guarantee, or assume responsibility for any third-party content accessed through a QR code.
- You acknowledge that QR codes may be scanned by the public at your own risk.
6. Subscription Plans & Billing
6.1 Plans
QR Breeze offers free and paid subscription plans, billed on a monthly or yearly basis.
6.2 Upgrades
If you upgrade your plan mid-billing cycle, you will be charged only the prorated difference for the remaining time in the current billing period. The billing date remains unchanged.
6.3 Downgrades
Downgrades take effect at the next renewal date. No refunds or credits are provided for unused time.
6.4 Cancellation
You may cancel your subscription at any time. Your plan will remain active until the end of the current billing period.
6.5 No Refunds
Except where required by law, all fees are non-refundable, including partially used billing periods.
7. Usage Limits & Enforcement
- Each plan may include limits such as scan counts, number of QR codes, users, or menus.
- If limits are exceeded, QR codes may be paused automatically until limits reset or the plan is upgraded.
- We reserve the right to enforce limits, suspend access, or restrict features to protect system integrity.
8. Suspension & Termination
We may suspend or terminate your account, with or without notice, if:
- You violate these Terms or the Acceptable Use Policy
- Your use poses a security, legal, or reputational risk
- Required by law or regulatory authority
You may terminate your account at any time by cancelling your subscription and deleting your account.
9. Disclaimers
The Service is provided “as is” and “as available”.
We make no warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
10. Limitation of Liability
To the maximum extent permitted by law:
- QR Breeze shall not be liable for indirect, incidental, special, or consequential damages.
- Our total liability for any claim shall not exceed the amount paid by you to QR Breeze in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless QR Breeze from any claims, damages, or losses arising from:
- Your User Content
- Your use of the Service
- Your violation of these Terms or applicable law
12. Governing Law
These Terms are governed by the laws of England and Wales, and courts located there shall have exclusive jurisdiction.
13. Changes
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
